Terms of Service

Effective August 1, 2026

These Terms of Service (the “Terms”) govern your access to and use of Bluezupply (the “Platform”), an online marketplace that connects construction contractors with material and service suppliers. By creating an account, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Platform.

01What Bluezupply is — and is not

Bluezupply is a neutral venue. Contractors publish material lists and request quotes (“RFQs”); suppliers respond with pricing, availability and lead times. Any resulting purchase is a contract between the contractor and the supplier only.

We are not a party to those transactions. We do not manufacture, own, store, inspect, transport or resell any material or service listed on the Platform, and we are not a broker, contractor, engineer or licensed dealer of any kind. We make no representation that any listed item is fit for a particular jobsite, code-compliant, or accurately described.

02Eligibility and accounts

  • You must be at least 18 years old and legally able to enter into contracts.
  • Business accounts must be opened by someone authorized to bind that business. You represent that you have that authority.
  • You must provide accurate registration information and keep it current.
  • You are responsible for everything that happens under your account, including all activity by your team members. Keep credentials confidential and notify us immediately of unauthorized use.
  • One account per business entity. We may refuse, suspend or remove accounts at our discretion.

03Verification (KYB)

Before transacting, we may require business verification: legal entity name, tax identification number (e.g. EIN), business licenses where applicable, contact and address details, and supporting documents. Suppliers may be required to complete verification before their catalog becomes visible to contractors.

Verification is a risk-reduction measure, not an endorsement, guarantee or certification of any counterparty's quality, solvency, licensure or legal compliance. Submitting false or altered documents is grounds for immediate termination.

04Contractor obligations

  • Material lists and quantities you upload must be your own or lawfully licensed to you.
  • You are solely responsible for verifying specifications, quantities, units, applicable codes, permits and jobsite conditions before ordering.
  • Requesting quotes with no genuine intent to purchase, or to harvest supplier pricing for competitive purposes, is prohibited.
  • Award decisions are yours. Once you accept a quote, you are responsible for payment to that supplier on the agreed terms.

05Supplier obligations

  • You must hold all licenses, permits, registrations and insurance required to sell the materials or perform the services you list.
  • Catalog data — descriptions, units, indicative prices, currency, stock and lead times — must be accurate and kept up to date. Quotes must be honored for the validity period you state.
  • If you connect an external inventory or ERP system, or publish a data feed we retrieve on a schedule, you are responsible for the accuracy of the data you transmit. Automated updates do not create an offer.
  • You are responsible for sales tax collection and remittance, invoicing, delivery, warranties, returns and any statutory consumer or commercial protections that apply to your sale.
  • You may not use contractor material lists, contact details or project data for any purpose other than responding to the specific RFQ.
  • Bid rigging, price fixing, coordinating quotes with other suppliers, or any other anti-competitive conduct is strictly prohibited.

06Quotes, orders and pricing

All catalog prices, stock levels and availability shown on the Platform — whether entered manually, imported from a file, pushed through our API or retrieved from a supplier data feed — are indicative reference information only. They are not offers, are not binding on any party, may be outdated or erroneous, and may not reflect quantity, freight, tax or project-specific pricing.

The only binding offer is the quote a supplier submits in response to a specific request and delivers to the contractor through the Platform and by email. Accepting that quote generates an order record and forms a binding agreement between contractor and supplier on the quoted terms, including price, quantities, delivery fees and lead times. Contractors should not rely on catalog pricing to make purchasing, bidding or estimating decisions.

Prices exclude taxes and duties unless a supplier states otherwise. Freight, delivery windows and delivery radius limits are set by each supplier. Obvious typographical or unit errors may be corrected or withdrawn by the supplier before acceptance.

07Payments

Unless expressly stated otherwise for a given transaction, payment is settled directly between contractor and supplier off-Platform, on the supplier's terms. Bluezupply does not act as an escrow agent, payment processor, collections agent or guarantor of payment or performance. Where we later introduce integrated payments, the applicable processor's terms will also apply, and we will notify you before those terms take effect for your account.

08Fees

Contractor accounts are currently free to use. Supplier accounts are free to join and free to use during beta.

In the future we may introduce supplier fees, including subscription plans or a success fee on completed orders. Any fee change will be disclosed by email or in-product notice at least 30 days before it applies to your account. If you do not agree, you may close your account before the change takes effect. Fees already incurred are non-refundable except where required by law.

09Disputes between users

Quality, quantity, damage, delay, non-delivery, non-payment, returns and warranty disputes are between contractor and supplier. We may, at our sole discretion, provide records (RFQ, quote, order and messaging metadata) to help resolve a dispute, but we have no obligation to mediate, arbitrate or compensate any party.

10Prohibited conduct

  • Posting unlawful, counterfeit, stolen, recalled, hazardous or restricted goods, or misrepresenting what you sell.
  • Scraping, crawling, bulk-extracting or reselling Platform data; circumventing rate limits or access controls.
  • Reverse engineering, probing or attacking the Platform, or accessing accounts or data that are not yours.
  • Uploading malware, spamming other users, or using contact data obtained here for unsolicited marketing.
  • Impersonating any person or business, or misstating affiliation, licensure or certification.
  • Using the Platform to evade sanctions, export controls or anti-money-laundering law.

11Your content and license

You keep ownership of the material lists, catalog data, documents and other content you upload. You grant Bluezupply a worldwide, non-exclusive, royalty-free license to host, store, reproduce, adapt and display that content solely to operate, secure and improve the Platform and to make it available to the counterparties you direct it to. You may also grant us permission, in aggregated and de-identified form, to produce market statistics that do not identify you or your pricing.

12Confidentiality of pricing

Supplier quotes shared through the Platform are confidential to the requesting contractor. Contractors must not publish, forward or use another supplier's quote to solicit a matching bid outside the Platform's own comparison features.

13Intellectual property

The Platform, including its software, design, trademarks and content, belongs to Bluezupply or its licensors. These Terms grant you a limited, revocable, non-transferable right to use the Platform for its intended business purpose. All other rights are reserved.

14Third-party services

The Platform relies on third-party providers (for example cloud hosting, mapping and address autocomplete, and transactional email). Their availability and terms are outside our control. Links or integrations do not imply endorsement.

15Availability, changes and beta features

The Platform is provided on an evolving basis. We may add, change, suspend or remove features, and some features may be labeled beta or early access and offered without any service-level commitment. We aim to give reasonable notice of material adverse changes.

16Suspension and termination

You may stop using the Platform and request account deletion at any time. We may suspend or terminate access immediately for breach of these Terms, suspected fraud, legal risk, non-payment, or conduct that harms other users. Obligations already incurred with a counterparty survive termination.

17Disclaimers

THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT LISTINGS, PRICES, DISTANCES, LEAD TIMES OR SUPPLIER MATCHES ARE ACCURATE, COMPLETE OR UNINTERRUPTED. Distance and delivery-radius matching is an estimate based on coordinates supplied by users and third-party mapping data.

18Limitation of liability

To the maximum extent permitted by law, Bluezupply and its officers, employees and agents will not be liable for indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, lost revenue, project delays, cost of substitute materials, or loss of data, arising from or relating to the Platform or any transaction between users. Our aggregate liability for any claim is limited to the greater of (a) the total fees you paid us in the twelve months before the claim, or (b) USD $100.

19Indemnification

You will indemnify and hold Bluezupply harmless from claims, damages, liabilities and reasonable legal fees arising from your use of the Platform, your content, your transactions with other users, or your breach of these Terms or applicable law.

20Governing law and disputes with us

These Terms are governed by the laws of the State of Delaware, United States, excluding its conflict-of-laws rules. Before filing any claim, you agree to contact us and attempt good-faith resolution for 30 days. Any unresolved dispute will be brought exclusively in the state or federal courts located in Delaware, and each party waives any objection to that venue. Claims must be brought individually, not as a class action.

21Changes to these Terms

We may update these Terms. For material changes we will notify you by email or in-product notice before they take effect. Continued use after the effective date means you accept the updated Terms.
